Transaction where a public company is taken off public exchanges and becomes private — usually via leveraged buyout by PE firm, or buyout by founder/insiders. Removes regulatory burden and short-term reporting pressure.

Recent examples: Twitter/X (Musk 2022), Citrix (Vista + Elliott 2022), Anaplan (Thoma Bravo 2022). Going-private premium is typically 25-40% over pre-rumor price.
